Shore Capital Group Limited – Results of Tender Offer
Results of Tender Offer
Further to the announcement by the Company on 20 October 2015 of a tender offer for up to 9.91 per cent. of the issued share capital of the Company (the “Tender Offer”), details of which were contained in a circular sent to shareholders dated 20 October 2015 (the “Circular”), the Board announces that the Tender Offer was over-subscribed. As a result, the Entitlement of all Shareholders who have validly tendered their Shares will be accepted in full. Excess tenders will be satisfied to the extent of approximately 19.21 per cent. of the excess Shares tendered at a price of £4.175 per Share.
A total of 2,395,209 Shares will be repurchased by the Company under the Tender Offer and then cancelled. Following the completion of the Tender Offer, the Company will have 21,768,791 Shares in issue.
It is expected CREST accounts will be credited with proceeds in respect of successfully tendered Shares on or prior to 13 November 2015 and that cheques in respect of unsold certificated Shares will be dispatched on or prior to 13 November 2015.
