Shore Capital is delighted to have acted as sole Financial Adviser, Nominated Adviser and sole Broker to Warpaint London plc (“Warpaint”) on its successful acquisition of Brand Architekts Group plc (“Brand Architekts”). The recommended cash offer, with a share alternative, which valued Brand Architekts at approximately £14m was announced in December 2024 and completed on 12 February 2025. 

Warpaint is a specialist supplier of colour cosmetics, selling its portfolio of brands through major retailers, and online, in the UK and internationally. The earnings-enhancing acquisition of Brand Architekts – a beauty brand specialist selling to retailers, and online, throughout the UK and internationally – provides Warpaint with an attractive opportunity to supplement its on-going international organic growth by integrating Brand Architekts’ highly complementary brands into Warpaint’s portfolio, as well as driving greater Brand Architekts profitability through improved efficiency and reduced costs.

Shore Capital supported Warpaint to complete the acquisition under the rules of the UK City Code on Takeovers and Mergers, as well as assisting Warpaint to raise £15m as Sole Bookrunner and Retail Offer Co-ordinator to finance the acquisition. Shore Capital acts as Nominated Adviser and Sole Broker to Warpaint on an on-going basis.
